Unless otherwise agreed in writing, payment is due within thirty (30) calendar days from the date of invoice. Late payments shall accrue interest at the rate of 1.5% per month or the maximum rate permitted by Illinois law, whichever is lower. You are responsible for all applicable taxes, including sales, use, value-added, and similar taxes, unless you provide a valid tax exemption certificate. HUHN PROPERTIES LLC reserves the right to modify its pricing at any time; however, any price changes shall not apply to services already contracted and in progress. Failure to remit timely payment may result in suspension or termination of Services.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUHN PROPERTIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF HUHN PROPERTIES LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall the total aggregate liability of HUHN PROPERTIES LLC exceed the total amount paid by you to HUHN PROPERTIES LLC during the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
THE SITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HUHN PROPERTIES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply. Both parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located within Will County, Illinois, for the resolution of any disputes. You waive any objection to venue or forum non conveniens. If any legal action is brought to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.
Any controversy, claim, or dispute arising out of or relating to these Terms, the Site, or the Services shall first be attempted to be resolved through good-faith informal negotiations between the parties. If the dispute cannot be resolved informally within thirty (30) days of written notice from one party to the other, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall take place in Chicago, Illinois, before a single arbitrator mutually agreed upon by the parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. Each party shall bear its own costs and fees, including attorneys' fees, unless the arbitrator determines otherwise. You agree to waive any right to a jury trial or to participate in a class action against HUHN PROPERTIES LLC.
HUHN PROPERTIES LLC reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. The most current version of the Terms will be posted on this page, and the "Last Updated" date at the top of this document will be revised accordingly. We encourage you to periodically review these Terms to stay informed of any changes. Your continued use of the Site and Services after the posting of any revisions constitutes your binding acceptance of the updated Terms.
